JAKARTA – PT Semen Baturaja Tbk (SMBR), a subsidiary of PT Semen Indonesia (Persero) Tbk (SIG), held an Extraordinary General Meeting of Shareholders (EGMS) at The East Tower, Mega Kuningan, Jakarta, on Thursday (18/12). The EGMS approved two agenda items: Approval of Amendments to the Company’s Articles of Association and Delegation of Authority to Approve the 2026 Company Work Plan and Budget (RKAP).

On the first agenda item, the EGMS approved amendments to the Company’s Articles of Association to align with applicable laws and regulations and policies, including Law Number 16 of 2025 concerning the Fourth Amendment to Law Number 19 of 2003 concerning State-Owned Enterprises (“BUMN Law”).

In addition, the EGMS also approved the change of the Company’s name to PT Semen Baturaja (Persero) Tbk and the change of the Company’s domicile, now located in Ogan Komering Ulu Regency, South Sumatra. These changes strengthen the Company’s identity and bring the company’s control center closer to its production base.

The second agenda item of the EGMS was to approve the delegation of authority to the Board of Commissioners, subject to prior written approval from the majority Series B Shareholder, to approve the Company’s 2026 Work Plan and Budget (RKAP), including any amendments.

SMBR President Director Suherman Yahya stated that the EGMS decision was a strategic step to strengthen the Company’s governance foundation to be more adaptive to regulatory dynamics and business needs.

“All decisions approved at this EGMS are part of our efforts to ensure that the Company’s implementation of Good Corporate Governance (GCG) consistently aligns with statutory provisions and shareholder policies. This serves as an important foundation for the Company’s sustainable performance and future business transformation,” said Suherman.

The decisions reached at the EGMS serve as a foundation for the Company to maintain performance continuity amidst the dynamics of the national cement industry. In line with this, through the third quarter of 2025, SMBR recorded solid performance, with cement sales volume reaching approximately 1.87 million tons, a 21% increase compared to 1.54 million tons in the same period last year. This growth boosted the Company’s revenue to IDR 1.78 trillion, a 27% increase compared to IDR 1.41 trillion in the same period last year.

Profitability also improved significantly, reflected in a net profit of IDR 146.31 billion, a 311% jump compared to IDR 35.61 billion in the same period last year. Meanwhile, EBITDA reached IDR 383.53 billion, a 46% increase compared to IDR 262.15 billion in the same period last year. These achievements strengthened the Company’s bottom line and maintained its cash flow amidst pressures in the national cement industry.

On the sustainability front, by the third quarter of 2025, carbon emissions intensity was successfully reduced to 562.92 kgCO₂/ton CEM eq, lower than the 564.90 kgCO₂/ton CEM eq in the same period the previous year. The PCC cement clinker factor index also decreased to 58.22% from 59.74%, while Alternative Fuel & Raw Material (AFR) utilization reached 120,989 tons, a 22% increase compared to 99,219 tons in the same period the previous year.

SMBR Vice President of Corporate Secretary Hari Liandu stated that this performance achievement is the result of the Company’s consistent implementation of its cost leadership and operational excellence strategies across the board.

“This performance growth is the result of the implementation of operational excellence across various sectors, from optimizing cost to service, achieving more efficient logistics rates, controlling and reducing clinker factors, to increasing the utilization of alternative fuels and raw materials, as well as synergies with SIG, our parent company,” Hari concluded. SMBR won two awards: TOP Digital Implementation 2025 #Stars 4 for Companies and TOP CIO on Digital Implementation 2025, which was awarded to SMBR’s Director of Finance & HR, Rahmat Hidayat.

The awards were received by Rahmat Hidayat, accompanied by SMBR’s Vice President of Accounting & Finance, Doddy Irawan, at the TOP DIGITAL Awards 2025 ceremony held on Thursday (December 4) at the Raffles Hotel, Jakarta.

The TOP DIGITAL Awards are given to companies and institutions deemed to have successfully demonstrated strong digital transformation performance, based on qualitative and quantitative indicators. PALEMBANG – A series of flash floods and landslides that occurred in late November 2025 struck West Sumatra, North Sumatra, and Aceh, causing extensive damage to residential areas and public facilities, and forcing thousands of people to evacuate. The impact of these disasters left an urgent need for food and logistical support for survivors.

As a form of concern for the affected communities, PT Semen Baturaja Tbk (SMBR), a subsidiary of PT Semen Indonesia (Persero) Tbk (SIG), distributed aid through its Social and Environmental Responsibility (TJSL) program, totaling Rp99,600,000.-. The aid distributed included 150 sacks of 10 kg of rice, 300 boxes of instant noodles, 400 boxes of tea, 400 cans of sweetened condensed milk, 400 kg of granulated sugar, and 400 cans of sardines.

All of the aid was handed over to the II/Sriwijaya Military Command (KODAM) on Wednesday (December 3) at Griya Agung, Palembang City, during a ceremony to release logistical and clean water aid for the Sumatra and Aceh regions, led by South Sumatra Governor Dr. H. Herman Deru.

South Sumatra Governor Herman Deru stated that 23 trucks and clean water tanks would arrive in Medan, a journey of approximately 36 hours from Palembang. The supplies would then be distributed to West Sumatra and Aceh, as Medan serves as a central distribution route.

“This aid represents the solidarity of various government agencies, state-owned enterprises (BUMN), regionally-owned enterprises (BUMD), private institutions, and the community. The total amount of aid collected reached IDR 2.6 billion,” Deru said at Griya Agung.

SMBR Senior Manager of Corporate Social Responsibility (CSR), Andy Aprizal, explained that the aid was channeled through the II/Sriwijaya Military Command (KODAM) and will be distributed to disaster victims. “We are deeply concerned about the disasters that have occurred in North Sumatra, West Sumatra, and Aceh. We have entrusted all of this aid to the II/Sriwijaya Military Command to distribute directly to the affected areas. We hope this assistance can ease the burden on the community and help meet basic needs during the emergency response period,” he said.

Meanwhile, SMBR Vice President of Corporate Secretary Hari Liandu emphasized that SMBR is always committed to providing benefits to the community, especially during disasters. “Social care is an important part of the company’s values. We hope this assistance can support the acceleration of emergency response and help affected communities recover,” he emphasized.

BATAM – PT Semen Baturaja Tbk (SMBR), a subsidiary of PT Semen Indonesia (Persero) Tbk (SIG), once again achieved impressive national success by winning five awards at the 29th–2025 National Quality and Productivity Work Meeting (TKMPN), held from November 24–28, 2025, at the Harmoni One & Convention Hotel, Batam.

This annual event, involving approximately 2,400 participants from 223 companies, is a collaboration between Wahana Kendali Mutu (WKM) and the Indonesian Quality and Productivity Management Association (AMMPI), which consistently serves as a platform for national companies to promote innovation, quality improvement, and productivity.

In this year’s competition, SMBR won two Platinum awards through Team Si Mbah with its innovative balancing method based on existing tools and Power Apps, and Team Locr Box with its innovative digitalization of weighing documents.

In addition, three Gold awards were won by the Beaker Team for digitizing production quality reports, the Mover Team for their Movable Hopper innovation to increase white clay production capacity, and the Musi Team for their innovation in efficient unloading of cement sacks using pallets. At the 2025 Indonesia Corporate Sustainability Award (ICSA), organized by PT Olahkarsa Inovasi Indonesia and ACEXI (Association of Carbon Emission Experts Indonesia), SMBR won three prestigious awards.

The three awards include a GOLD award for Circular Economy Excellence through “From Waste to Energy: Sludge Oil Innovation as a Green Energy Solution for the Cement Industry,” a SILVER award for Biodiversity Excellence through “Urban Forest Conservation as an Effort to Preserve Fauna in South Sumatra,” and a BRONZE award for Energy Efficiency Excellence through “C-GAIN: Cement Grinding Aid for Innovation & Energy Efficiency.” This recognition demonstrates that SMBR’s sustainability program is not only recognized externally but also has significant operational and environmental impacts.

The award was received by SMBR’s Senior Manager of Health, Safety & Environment, Erwinsya, on behalf of management, on Friday (November 28th) at the Batang Industropolis Special Economic Zone (KEK), Central Java.

This achievement was followed by tangible results on the ground. In the Circular Economy Excellent category, the utilization of sludge oil recorded a significant contribution to energy efficiency. Throughout 2024, this program utilized 643.66 tons of sludge oil, generating 87.30 TJ (Tera Joules) of energy, replacing approximately 4,669.7 tons of coal, and providing savings of over IDR 4.88 billion per year, while also supporting carbon emission reductions.

In the Biodiversity Excellence category, SMBR has designated the Baturaja City Forest, a 106-hectare conservation area, as its operational area. Biodiversity monitoring has identified protected species including the Long-tailed Monkey, the Javan Langur, the Mouse Deer, the Javan Hawk-eagle, and others. This demonstrates the area’s vital role as both a wildlife habitat and a sustainable green space surrounding the company’s operations.

Furthermore, in the Energy Efficiency Excellence category, the Cement Grinding Aid for Innovation & Energy Efficiency (C-GAIN) innovation has had a significant impact on energy savings and emissions reductions. In 2024, the implementation of C-GAIN, using 476.29 tons of CGA, successfully reduced the clinker factor by 2.14%—equivalent to a savings of 13,898 tons of clinker, reducing energy requirements by 45,385 GJ (Giga Joules), and reducing coal consumption by 2,347 tons. This program also resulted in cost savings of over IDR 1.36 billion and reduced emissions by approximately 4,357 tons of CO₂-eq.

Erwinsya emphasized that all of these innovations reflect the company’s increasingly mature sustainability direction. “Innovations such as sludge oil, strengthening biodiversity conservation areas, and energy efficiency through C-GAIN demonstrate that SMBR continues to move towards greener, more efficient, and more responsible operations.
